These Terms and Conditions (“Terms”) govern the provision of services by Clerked Ltd (“Clerked”, “we”, “us”, “our”) and your use of the Clerked platform, website, and related services (together, the “Platform”).
By registering for, accessing, or using Clerked, you agree to be bound by these Terms.
Clerked is a UK-based software-as-a-service (SaaS) platform designed to assist legal professionals by providing visibility of barrister availability and facilitating contact between solicitors, clerks, barristers, and chambers.

The following terms have the meanings set out below throughout these Terms:
3.1 The Platform is restricted to practising legal professionals and authorised representatives of legal organisations. You must be at least 18 years old and hold a current, active practising status within your relevant regulatory body.
3.2 Barristers must confirm at the point of registration that they are a current, practising member regulated by the Bar Standards Board (BSB). Clerked reserves the right to verify BSB membership and to suspend or terminate accounts where this cannot be confirmed.
3.3 Solicitors must confirm at the point of registration that they hold a current practising certificate issued by the Solicitors Regulation Authority (SRA) or equivalent regulatory body. Clerked reserves the right to verify this status and to suspend or terminate accounts where it cannot be confirmed.
3.4 You agree to provide accurate, complete, and up-to-date information during registration and to notify Clerked promptly if your regulatory status changes (including suspension, disbarment, or lapse of practising certificate).

4.1 Users are responsible for safeguarding their login credentials. You must not share access credentials with any third party.
4.2 You must notify Clerked immediately of any unauthorised access or security breach at support@clerked.co.uk.
4.3 Clerked is not responsible for losses arising from compromised credentials where reasonable security measures were in place.
4.4 Each Chambers account must designate a Primary Clerk on or before the point of first subscription. The Primary Clerk is the authorised account administrator and billing contact for the Chambers and is responsible for all account-level decisions.
4.5 The Primary Clerk has full administrative access to the Chambers account, including the ability to allocate and manage Seats for Barristers, add or remove Clerks, and update billing information.
4.6 The Primary Clerk is responsible for ensuring that all users within the Chambers account comply with these Terms.
4.7 A Chambers may change its Primary Clerk by contacting Clerked support at support@clerked.co.uk. Until a change is confirmed in writing by Clerked, the existing Primary Clerk remains responsible for the account.

7.1 Barristers may optionally connect a supported third-party calendar (such as Microsoft Outlook or Google Calendar) to synchronise availability data with the Platform. Clerked will publish the current list of supported calendar providers in the Platform settings.
7.2 By enabling calendar synchronisation, you:
7.3 Calendar access may be withdrawn at any time via your account settings. Withdrawal will not affect availability data already displayed on the Platform until it is next refreshed.
7.4 Clerked is not liable for errors, omissions, or interruptions in third-party calendar services. Availability data derived from calendar synchronisation is indicative only.
8.1 The “Email Clerk” function generates a pre-populated email within the user’s own email client. No email is sent by Clerked directly.

9.1 Where Clerked offers a free trial period, the following terms apply:
9.2 Barristers and Chambers are required to pay a subscription fee to access full Platform features. Solicitors may access free or paid tiers as determined by Clerked and published on the Platform.
9.3 Payments are processed by Stripe. Clerked does not store cardholder data. Subscriptions are billed monthly in advance unless stated otherwise at the point of purchase.
9.4 Chambers subscriptions are billed on a per-Seat basis. Each Seat corresponds to one Barrister having active access to the Platform. Charges commence when Seats are allocated by the Primary Clerk. Billing continues regardless of whether an individual Barrister has completed onboarding.
9.5 Subscription fees are non-refundable except where required by law or as set out in the Clerked Subscription & Refund Policy, which forms part of these Terms and is available on the Customer Facing compliance page.
10.1 Clerked may suspend or terminate access:
10.2 Users may request cancellation at any time via account settings or by contacting support@clerked.co.uk.
10.3 Following termination or cancellation of a subscription, Clerked will retain personal data for a period of up to 30 days, after which it will be securely deleted in accordance with the Clerked Privacy Policy and applicable data protection legislation, including UK GDPR. Users may request an export of their data during this 30-day window by contacting support@clerked.co.uk.
11.1 All intellectual property rights in the Platform belong to Clerked Ltd or its licensors.
11.2 Users are granted a limited, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms.
11.3 Users may not copy, modify, distribute, or reverse engineer the Platform or any part of it.
12.1 Users must treat any non-public information accessed via the Platform as confidential and must not disclose it to any third party without authorisation.
12.2 This includes professional details, availability data, contact information, and any information about other users accessed through the Platform.
13.1 The Platform is provided “as is” and “as available” without warranty of any kind.

Use of the Platform is subject to the Clerked Privacy Policy, which forms part of these Terms. The Privacy Policy is available on the Customer Facing compliance page and sets out how Clerked collects, processes, and retains personal data in accordance with UK GDPR and applicable data protection legislation.
Clerked may update these Terms from time to time. Where changes are material, we will provide reasonable notice via the Platform or by email. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
